NCR to Acquire Research Computer Services, Inc., Leading Provider of Retail Solution Software

Investment Underscores NCR’s Commitment To Growth in Global Store Automation Market

DAYTON, Ohio – Underscoring its commitment to grow its store automation business, NCR Corporation announced it is purchasing Research Computer Services, Inc. (RCS), a leading provider of application software for retailing chains.

Financial terms of the transaction were not disclosed.

Privately-held RCS specializes in software and related professional and support services for general merchandise retailers such as department, discount and specialty store chains.

RCS will operate as a wholly-owned subsidiary of NCR and remain in its current locations, which include headquarters in Dayton, Ohio, and an office near Atlanta. Dave Ashcraft, founder, will continue as president of RCS.

"We’re confident this investment will accelerate NCR’s growth in the global market for store automation solutions," said Tony Fano, senior vice president of NCR’s Retail Solutions Group. "Our companies began working together more than a decade ago. With this new relationship, NCR and RCS will be able to further expand the scope of our offerings and grow our sales in international markets as well as with smaller retailing businesses."

NCR and RCS have partnered since 1990 to serve the retail industry’s point-of-service (POS) and back office technology needs, including Web-ready POS and e-tailing solutions. Both companies are founding partners of the Digital Receipt Alliance, which is driving the standard for delivering secure receipts over the Internet.

The only company capable of providing end-to-end retailing solutions, from consumer touchpoints to customer relationship management, NCR offers the industry’s most comprehensive portfolio of store automation solutions and is the number one provider of retail data warehousing.

NCR brands and sells the RCS solution as NCR Advanced Store@General Merchandise to large retail chains. Among NCR’s Advanced Store@General Merchandise customers are The Limited, Office Depot, Target, and PETsMART in the United States, Debenhams in the United Kingdom, and David Jones in Australia. In addition, RCS will continue doing business as an independent software vendor, providing solutions and services for various open, industry-standard POS hardware platforms.

"At RCS, we’re very excited about the opportunity to leverage NCR’s global presence and to further enhance the technology leadership of both companies," said Dave Ashcraft. "Together, we will be in an even stronger position to provide retailers worldwide with proven, robust, solutions that are able to grow with their businesses."
